By checking “I have read and agree,” you (“Affiliate”, “you”, “your”) confirm that you have read, understood, and agree to these Affiliate Program Terms & Conditions (the “Terms”) with Pay3 Limited (“Company”, “we”, “us”, or “our”), which govern your participation in the Affiliate Program.
1. Program Overview & Eligibility
- This program is offered via our digital platform (website/app).
- To participate, you must:
- Affiliates must refer at least 1 (one) new users who activate credit cards through our platform to remain eligible. Affiliates with terminated accounts or disallowed status are ineligible.
2. Affiliate Account & Tracking
- You must register a Pay3 Account.
- You will be assigned a unique referral link or code.
- Tracking is managed solely through our proprietary system.
- “Clients” are users who sign up via your link/code. You may not hold multiple Affiliate Accounts or self-refer.
3. Referral & Sub-affiliate Structure
- You earn commission from:
- Assignment of sub-affiliates will be determined by us at our sole discretion.
4. Qualified Referral
A Qualified Referral occurs when:
- The referred user clicks your link and registers,
- Activates and uses a credit card via the platform,
- Meets card specific criteria (e.g., spending threshold),
- Has no prior relationship with the platform.
5. Commission Structure & Payments
- Commission rates are tiered based on performance (e.g., referral volume, spending). Rates are visible in your dashboard.
- We also offer tier-2 override commissions from your sub-affiliates’ earnings, as defined in the dashboard.
- Commission is calculated after deducting fees, discounts or third-party charges.
- Reports and tracking provided by us are final, unless you notify us of discrepancies within 10 business days of issuance; failure to do so waives disputes.
- Payouts will be made periodically in the currency and method indicated on the Affiliate Dashboard, subject to a minimum payout threshold.
- We reserve the right to withhold, recalculate, or deny payment if fraud or misuse is identified, pending investigation.
- Affiliates will earn commissions only on the portion of the card issuance fee actually paid by the user in cash, and only if the platform generates a profit from the card issuance fee; no commissions will be awarded for amounts covered by points or if no profit is realized.
- Affiliates are eligible to earn commissions from a referred client for up to 365 days following the date the user successfully issues their card, after which no further commissions will accrue.
6. Compliance & Prohibited Activities
You're not permitted to:
- Generate fake or fraudulent traffic,
- Self-refer or create multiple accounts for improper gain,
- Use misleading, spammy, or deceptive marketing,
- Bid on our trademarks or run unapproved paid ads,
- Violate privacy, advertising, or financial-services laws,
- Use unapproved marketing materials or misrepresent features or partnerships,
- Promote hate, discrimination, violence, or infringing content.
Violation may lead to immediate account suspension, forfeiture of commissions, and legal action.
7. Intellectual Property & Brand Usage
- The Company grants a limited, non-exclusive license to use its branding, logos, and approved marketing assets for Affiliate activities only, per our Brand Guidelines.
- Unauthorized usage or creating derivative works is prohibited.
8. Modifications
- We may amend these Terms at any time.
- Material changes will be communicated via email or platform notifications.
9. Term & Termination
- The Agreement is effective upon your acceptance and continues until terminated.
- Either party may terminate participation at any time via notice.
- The Company may suspend or terminate your account immediately if you commit fraud, spam, or breach these Terms.
- Upon termination, we will pay out any verified, unpaid commissions according to the standard schedule.
10. Confidentiality
- You agree to keep all program details, compensation structures, proprietary tools, and client data confidential, during and after this Agreement.
11. Indemnification & Liability
- You agree to indemnify the Company for claims arising from your breach, unlawful acts, or negligence.
- The Company’s liability is limited to commissions paid in the prior 3 months. We are not liable for indirect, special, punitive, or consequential damages.
12. Governing Law & Dispute Resolution
- These Terms are governed by the laws of Hong Kong.
- Any dispute will be resolved in the courts of Hong Kong.
